SOFTWARE PRODUCT LICENSE:
The above named SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. This SOFTWARE PRODUCT is licensed, not sold.
GRANT OF LICENSE. This EULA grants the licensee the following rights:
LICENSE. The EULA for this SOFTWARE PRODUCT is a non-exclusive license whereby AcroSoft retains and reserves all rights not expressly granted to the licensee.
OWNERSHIP. This EULA does not grant any SOFTWARE PRODUCT title or ownership to the licensee. AcroSoft retains title and ownership of the SOFTWARE PRODUCT without respect to the form or media in or on which the original and any other copies may exist. This EULA is not a sale of the original SOFTWARE PRODUCT or any copy thereof.
REGISTRATION. Upon installation, the licensee is granted the right to use and evaluate the SOFTWARE PRODUCT for a period of 30 days. Subsequently, and for further use, the licensee must register the SOFTWARE PRODUCT with AcroSoft in accordance with the registration instructions and fees contained within the SOFTWARE PRODUCT.
SOFTWARE USE. The licensee may install and use the SOFTWARE PRODUCT as a single USER on no more than two separate COMPUTERS. The SOFTWARE PRODUCT must be registered separately for use on each of two COMPUTERS. Registration and fee instructions are contained in the SOFTWARE PRODUCT. Should the licensee desire to use the SOFTWARE PRODUCT on more than two computers, an additional EULA will be required by AcroSoft.
USE RESTRICTIONS. The licensee may distribute the SOFTWARE PRODUCT electronically from one computer workstation to another computer workstation over a network. However, upon such distribution, the SOFTWARE PRODUCT will automatically revert to a 30 day evaluation format and require the new USER to complete the registration and applicable fees for the SOFTWARE PRODUCT within that evaluation period. Failure to do so will result in the SOFTWARE PRODUCT becoming null and void. The licensee may not modify, translate, adapt, reverse-engineer, disassemble, decompile, excerpt, or create derivative works based on the SOFTWARE PRODUCT. The licensee may not sell, lease, loan, or assign the SOFTWARE PRODUCT.
COPY RESTRICTIONS AND OTHER RESTRICTIONS. The licensee may not copy the SOFTWARE PRODUCT except to make one (1) copy for backup and archival purposes. The licensee may not remove any identification, copyright notices, or proprietary restrictions from the SOFTWARE PRODUCT. No benchmarking or performance testing may be run on this SOFTWARE PRODUCT without the express written consent of AcroSoft. No results of such testing may be disclosed to any third party without the express written consent of AcroSoft. Upon reasonable notice to the licensee, AcroSoft reserves the right to audit the number of copies of the SOFTWARE PRODUCT in use by the licensee.
UPGRADES. If the SOFTWARE PRODUCT is an upgrade from or within another AcroSoft SOFTWARE PRODUCT, the licensee may use or transfer the SOFTWARE PRODUCT in accordance with the needs of the upgraded product. The licensee will be bound by the use, registration and applicable fee requirements of the original SOFTWARE PRODUCT as well as the upgrade SOFTWARE PRODUCT.
TERMINATION. This EULA is in effect until it is terminated. This EULA will terminate automatically, without notice from AcroSoft, if the licensee fails to comply with any provisions of this EULA. Upon termination, the licensee will return the SOFTWARE PRODUCT to AcroSoft or destroy it in its entirety.
JURISDICTION. This EULA is governed by the laws of the State of South Carolina.
LIMITED LIABILITY. In no event will AcroSoft or its suppliers be liable for any loss or inaccuracy of data, loss of profits or indirect, special, incidental, or consequential damages. AcroSoftÆs total liability, if any, arising out of or relating to this agreement shall not exceed the license fees paid by the licensee for the SOFTWARE PRODUCT. This limited liability may not apply in all States and Provinces.
